Thorne Ambassador-Customer Agreement
The Thorne Ambassador-Customer Agreement describes the terms and conditions for your participation in Thorne's Ambassador-Customer program. The terms "Ambassador," "you," and "your" are referring to you, the applicant. The terms "we" and "our" refer to Thorne.
As a condition of an Ambassador-Customer who resides in the United States receiving cash commissions from Thorne, the Ambassador-Customer must complete the Ambassador-Customer account sign-up process and submit his or her Taxpayer Identification Number (TIN) to Thorne, which will enable Thorne to transmit an IRS Form 1099-MISC to the Ambassador-Customer at the end of the calendar year. The TIN can be provided to Thorne by forwarding an IRS Form W-9 or by using the IRS-approved substitute form below.
Agreement Duration
This Ambassador-Customer Agreement will become effective on our acceptance of your Ambassador-Customer application and will end when it is terminated by either party in writing.
Thorne reserves the right, in its discretion, at any time and without notice, to terminate this Ambassador-Customer Agreement. The exercise of this right, however, will not affect the status of any existing cash commission that is still due and payable to the Ambassador-Customer.
Ambassador Link Usage
As an Ambassador-Customer, we will provide a personalized online link for you to share and have your audience use, and ultimately purchase through, to obtain your cash commissions. This online link is not to be shared on any public coupon/discount website, such as retailmenot.com, couponsock.com, and others.
General Information
We are looking for influential individuals who understand the importance of good health and the pursuit of better health. By becoming a Thorne Ambassador-Customer, you will be representing a company that challenges industry standards and creates products with the highest quality ingredients in a clean manufacturing process while protecting the environment.
We want our Ambassador-Customers to proudly represent the Thorne brand, lifestyle, and culture. If you are self-optimizing, ambitious, and share our brand culture, then we would love for you to apply.
Ambassador-Customer agrees to cooperate with Thorne regarding the rights granted to Thorne in this Agreement related to the use of the Ambassador-Customer's name and likeness online and in Thorne's social media and website, subject to applicable laws, rules, and regulations. Thorne agrees that it will ensure that any such social media posts and activity permitted herein are in compliance with applicable laws, rules, and regulations (including but not limited to disclosure requirements, confidentiality obligations, privacy restrictions, and/or applicable department, agency, or commissions).
We ask our Ambassador-Customers to:
- Reach out to their followers, friends, family, and acquaintances via social media and word of mouth to educate them on our brand and mission
- Promote our social media networks (Instagram, Facebook, Twitter)
- Share Thorne blog articles on Take 5 Daily and Thorne videos on YouTube
- Post a minimum of once a week on social media promoting Thorne products (Instagram, Facebook, Twitter, etc.)
- Recruit new, like-minded Ambassador-Customers to join the Thorne Ambassador Team
- Drive sales to www.Thorne.com (our retail website) using social media, word of mouth, and any other reasonable means
Compensation
As an Ambassador-Customer, you will earn a 20-percent commission when any first-time Thorne customer makes a purchase from your Ambassador link, as well as any subsequent orders he or she places.
The commission rate may fluctuate whether you extend a discount through your Ambassador link. You will still earn the remaining commission on every purchase made. For example, if you extend a 5-percent discount to your followers, then you will still earn 15 percent of every purchase made by a new Thorne customer.
If your commission balance exceeds $100 at the end of any given month, then your commission check will be processed at the end of that month. If your commission balance is less than $100, then the balance will continue to accumulate and will be issued in whichever following month the accumulated balance is greater than $100. Regardless of the amount of your commission balance, the balance will always be issued at the end of each calendar year (December 31).
Social Media Content
As an Ambassador-Customer, you agree to discuss and promote Thorne products in a reasonable manner. We encourage you to be unique, creative, and authentic when posting and sharing.
In any messaging disseminated by the Ambassador-Customer related to Thorne product experiences, the Ambassador-Customer must refrain from making any health claims about Thorne products that do not comply with the federal Dietary Supplement Health and Education Act of 1994 (DHSEA). Thorne products cannot be referenced in any messaging that would suggest or insinuate that the Thorne product is "treating," "curing," or "preventing" any disease.
FTC Compliance
Ambassador-Customer is required to comply with all Affiliate Disclosure requirements imposed by the U.S. Federal Trade Commission. If the Ambassador-Customer mentions Thorne products and/or services in a digital medium (e.g., social media, blog, etc.), the posting must be accompanied with a clear and prominent disclosure of Ambassador-Customer's relationship to Thorne. Hashtag-only disclosures are insufficient.
U.S. Internal Revenue Service - Substitute IRS Form W-9 Certification
I certify to each of the following:
- The following number is my correct Taxpayer Identification Number (or I am waiting a Taxpayer Identification Number to be issued to me): ___________________
- I am not subject to backup withholding because: (a) I am exempt from backup withholding, or (b) I have not been notified by the Internal Revenue Service that I am subject to backup withholding because of a failure to report interest or dividends, or (c) the Internal Revenue Service has notified me that I am no longer subject to backup withholding.
- I am a U.S. citizen or other U.S. person.
- The FATCA code on this form, if any, indicating that I am exempt from FATCA reporting is correct.
The Internal Revenue Service does not require consent to any provision of this document other than the certifications required to avoid backup withholding.
